Terms of Service

These Terms of Service (“Terms”) govern the purchase and use of services provided by AD PROOF GLOBAL (“AD PROOF GLOBAL,” “we,” “us,” or “our”).

By submitting an order, purchasing a service, opening an agency account, or otherwise using our services, you (“Client,” “you,” or “your”) agree to these Terms.

  1. Our Service

AD PROOF GLOBAL provides YouTube pre-roll advertising capture and documentation services for media agencies, advertisers, campaign managers, media buyers, brands and other authorized clients.

Subject to the Client’s instructions and campaign eligibility, we may attempt to observe and record a Client’s advertisement appearing during a YouTube viewing session involving requested eligible YouTube content in a specified market.

Depending on the purchased service, a successful capture may include:

  • Video recording of the observed pre-roll advertisement;
  • Advertiser or brand identification;
  • Requested country or market;
  • YouTube channel and/or video information;
  • Capture date and time; and
  • Other agreed campaign documentation.

Our services provide visual documentation of an observed ad appearance and are not a substitute for official advertising-platform reporting, independent media auditing, impression measurement or campaign certification.

  1. No Guarantee of Ad Appearance

AD PROOF GLOBAL does not control YouTube’s or Google’s advertising systems.

The appearance of an advertisement may depend on factors including, but not limited to:

  • Campaign status;
  • Campaign targeting;
  • Geographic targeting;
  • Audience eligibility;
  • Budget;
  • Bidding;
  • Frequency controls;
  • Advertising inventory;
  • Placement eligibility;
  • Advertiser settings;
  • Auction conditions;
  • User/session characteristics; and
  • Google or YouTube systems and policies.

Accordingly, we cannot guarantee that a particular advertisement will appear on a requested YouTube channel, video, device, location or within a particular period.

We guarantee only that any capture represented by us as a successful live capture reflects an advertisement that our capture process actually observed during the relevant viewing session.

  1. Meaning of a Successful Capture

Unless otherwise agreed in writing, a “Successful Capture” means a video recording in which the Client’s identified advertisement is observed during a YouTube viewing session associated with the requested campaign requirement.

A Successful Capture does not mean or certify that:

  • The advertisement appeared to every targeted user;
  • The advertisement received a particular number of impressions;
  • The campaign delivered according to its entire media plan;
  • Google Ads or DV360 attributed an impression to a specific reporting category;
  • Every geographic or audience-targeting condition was independently verified;
  • The advertisement appeared continuously;
  • The requested channel or video received a particular level of campaign delivery; or
  • AD PROOF GLOBAL has independently audited the Client’s advertising account.

The recording documents the specific observed viewing session only.

  1. Client Responsibilities

The Client is responsible for providing accurate information required to perform the requested service.

This may include:

  • Advertiser or brand name;
  • Advertising creative or identifying information;
  • Target country or market;
  • Requested YouTube channel;
  • Requested YouTube video URL;
  • Campaign start and end dates;
  • Number of required captures; and
  • Any relevant campaign or placement requirements.

The Client must ensure that it has the necessary authority to request the services and to provide any advertising materials or information supplied to AD PROOF GLOBAL.

Incomplete, incorrect or outdated campaign information may delay or prevent successful capture.

  1. Campaign Must Be Active and Eligible

Clients are responsible for ensuring that the relevant advertising campaign is active, funded, approved and eligible to serve during the requested capture period.

AD PROOF GLOBAL is not responsible for unsuccessful captures caused by:

  • Paused or ended campaigns;
  • Disapproved advertisements;
  • Exhausted budgets;
  • Incorrect targeting;
  • Placement exclusions;
  • Geographic restrictions;
  • Low campaign delivery;
  • Frequency limitations;
  • Ineligible YouTube inventory; or
  • Other advertiser/platform configuration issues.

We may request additional campaign information where reasonably necessary to investigate an unsuccessful capture request.

  1. Targeted Channels and Videos

A Client may request that we attempt to capture an advertisement against content from a specific YouTube channel or on a specific YouTube video.

Such a request represents a capture target and not a guaranteed placement.

YouTube and Google’s advertising systems determine whether an advertisement is eligible and selected to appear during a particular viewing session.

AD PROOF GLOBAL does not control those decisions.

  1. Geographic Capture Requests

Clients may request captures from supported countries, regions or markets.

A geographic capture indicates that the viewing/capture session was conducted using the location methodology applicable to the service ordered.

Unless expressly agreed otherwise, our geographic identification should not be interpreted as an independent certification of Google Ads’ geographic attribution for the impression.

Availability may vary by country, campaign and technical conditions.

  1. Capture Period and Turnaround

Estimated delivery times are provided in good faith but are not guaranteed unless a specific service-level commitment has been agreed in writing.

A capture request may require repeated viewing attempts before the requested advertisement appears.

Turnaround may therefore depend on factors outside our control.

Priority or urgent orders may carry additional fees.

  1. Unsuccessful Capture Requests

An unsuccessful capture does not necessarily mean that the Client’s campaign did not run.

It means only that AD PROOF GLOBAL did not successfully observe and record the requested advertisement under the agreed capture conditions during the agreed monitoring period.

Where a capture is unsuccessful, depending on the purchased package, we may:

  • Continue monitoring within the agreed period;
  • Request additional campaign information;
  • Offer an extended monitoring period;
  • Allow an eligible replacement request;
  • Return applicable capture credits; or
  • Apply the relevant refund policy.

Any monitoring or setup fee expressly identified as non-refundable remains payable.

  1. Pricing and Payment

Prices may be based on:

  • Individual successful captures;
  • Capture credits;
  • Campaign packages;
  • Agency packages;
  • Monthly service plans;
  • Geographic coverage;
  • Placement specificity;
  • Priority turnaround; or
  • Custom enterprise agreements.

All applicable charges will be communicated before an order is accepted.

Unless otherwise agreed, payment must be received before work begins.

Prices may be changed for future orders without affecting services already purchased.

  1. Capture Credits

Where a Client purchases prepaid capture credits:

  • Credits may be used only for eligible AD PROOF GLOBAL services;
  • One or more credits may be required depending on the complexity of a request;
  • Credits have no cash value except where required by applicable law;
  • Credits may not be resold without our written approval; and
  • Any expiration period will be disclosed when the credits are purchased.

Agency and Enterprise agreements may contain different credit conditions.

  1. Refunds

Refund eligibility depends on the service or package purchased.

A completed and delivered Successful Capture is generally non-refundable once delivered, except where the delivered file materially fails to meet the agreed capture requirement.

If AD PROOF GLOBAL is unable to complete a prepaid capture request, we may, depending on the applicable package or agreement, provide:

  • A replacement capture;
  • Account credit;
  • An extension of the monitoring period; or
  • A refund of the applicable capture fee.

Fees for work already performed, extended monitoring, urgent service or other specifically identified non-refundable services may not be refundable.

  1. Appropriate Use of Captures

Clients may use delivered recordings for legitimate purposes such as:

  • Internal campaign documentation;
  • Client reporting;
  • Campaign presentations;
  • Media-planning records;
  • Quality assurance; and
  • Other lawful business purposes.

Clients are responsible for ensuring that their subsequent use, publication or distribution of recordings complies with applicable laws, contracts, intellectual-property rights and platform requirements.

  1. Intellectual Property

All trademarks, advertisements, videos, channel names, platform interfaces and other third-party materials appearing within a capture remain the property of their respective owners.

Purchasing our service does not transfer ownership of third-party intellectual property to the Client or to AD PROOF GLOBAL.

The AD PROOF GLOBAL name, branding, website content, proprietary processes, reporting formats and original materials remain our property unless otherwise agreed in writing.

  1. YouTube and Google Independence

AD PROOF GLOBAL is an independent service provider.

Unless expressly stated otherwise, AD PROOF GLOBAL is not affiliated with, endorsed by, sponsored by or officially associated with YouTube, Google LLC, Google Ads or Google Marketing Platform.

YouTube, Google, Google Ads and related marks are trademarks of their respective owners.

  1. Confidentiality

We understand that campaign information may be commercially sensitive.

AD PROOF GLOBAL will take reasonable measures to protect non-public campaign information supplied by Clients and will use such information for providing the requested services and related operational purposes.

Agency or Enterprise clients requiring additional confidentiality protections may request a separate Non-Disclosure Agreement (NDA).

  1. Client Account and Campaign Data

Where agency accounts, dashboards or portals are provided, Clients are responsible for maintaining the confidentiality of their login credentials.

Clients must not provide unnecessary passwords or sensitive advertising-account credentials unless specifically requested through an approved secure process.

Where possible, provide only the campaign information necessary for us to perform the capture.

  1. Prohibited Uses

Clients may not use AD PROOF GLOBAL services:

  • For unlawful purposes;
  • To create false advertising evidence;
  • To misrepresent campaign performance;
  • To deceive clients, regulators, publishers or third parties;
  • To infringe intellectual-property rights;
  • To circumvent applicable platform restrictions unlawfully;
  • To impersonate another advertiser or organization; or
  • In connection with fraudulent or deceptive activity.

We reserve the right to refuse or terminate requests that we reasonably believe violate these Terms or applicable law.

  1. Third-Party Platforms

Our services depend in part on third-party platforms, infrastructure and technologies that we do not control.

Changes made by Google, YouTube, internet service providers, operating systems, browsers or other third parties may affect our ability to perform a requested capture.

We are not responsible for interruptions or limitations caused by third-party systems beyond our reasonable control.

  1. No Campaign Performance Guarantee

AD PROOF GLOBAL does not guarantee:

  • Campaign impressions;
  • Views;
  • Clicks;
  • Conversions;
  • Reach;
  • View-through rates;
  • Brand lift;
  • Sales;
  • Return on advertising spend; or
  • Any other advertising result.

Our service concerns the capture and documentation of observed advertising appearances, not the performance of the underlying advertising campaign.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, AD PROOF GLOBAL will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of revenue, profits, business opportunities, campaign performance, goodwill or data arising from use of our services.

To the maximum extent permitted by law, our aggregate liability relating to a particular order will not exceed the amount paid to AD PROOF GLOBAL for the service giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

  1. Indemnification

To the extent permitted by applicable law, the Client agrees to indemnify and hold AD PROOF GLOBAL harmless from third-party claims arising from the Client’s unlawful use of our services, materials supplied by the Client, infringement of third-party rights, or material breach of these Terms.

  1. Refusal or Suspension of Service

We reserve the right to refuse, suspend or terminate a request where:

  • Required information is inaccurate or misleading;
  • Payment has not been received;
  • The requested activity appears unlawful or deceptive;
  • The request creates unreasonable technical or operational risk;
  • The Client materially breaches these Terms; or
  • Continuing the service would violate applicable law or third-party platform requirements.

Where appropriate, we will communicate the reason for the refusal or suspension.

  1. Force Majeure

AD PROOF GLOBAL will not be responsible for delays or failures caused by events reasonably beyond our control, including internet outages, platform outages, government restrictions, natural disasters, war, civil disruption, major infrastructure failures or material changes to third-party advertising platforms.

  1. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, business practices, platform requirements or applicable law.

The updated version will be posted on our website with a revised “Last Updated” date.

Material changes will apply prospectively unless otherwise required by law.

  1. Governing Law and Dispute Resolution

Governing Law and Jurisdiction

These Terms of Service, and any dispute, claim or matter arising out of or relating to the services provided by AD PROOF GLOBAL, shall be governed by and construed in accordance with the applicable laws of the Islamic Republic of Pakistan and the applicable laws and regulations of the Province of Punjab, Pakistan.

Subject to any mandatory provisions of applicable law, the courts of competent jurisdiction at Lahore, Punjab, Pakistan shall have exclusive jurisdiction over any dispute, claim or proceeding arising out of or relating to these Terms, the use of our website, or the services provided by AD PROOF GLOBAL.

Where appropriate, AD PROOF GLOBAL and the Client are encouraged to first attempt to resolve any dispute through good-faith discussions before commencing formal legal proceedings.

Important Service Notice

AD PROOF GLOBAL provides visual documentation of observed YouTube advertising appearances. Individual ad appearances cannot be guaranteed because advertising delivery is determined by third-party advertising platforms and campaign conditions. A successful recording documents the observed viewing session and should not be interpreted as certification of total campaign delivery, impressions, audience delivery or advertising-platform reporting.
